South Florida Imaging Clinics Acquired by Publicly Traded Corporation in International M&A Deal

Jones Foster Corporate attorney, Kevin T. Lamb, represented multiple sellers of six South Florida physician-owned freestanding, fixed-site outpatient diagnostic imaging clinics in a $39 million M&A deal with a publicly traded Canadian healthcare corporation.

Experienced in handling sophisticated commercial transactions, including several recent healthcare/medical services industry deals, Kevin negotiated and structured six separate asset purchase agreements as well as non-compete agreements, professional services agreements, and other related corporate documents in connection with the cross-border sale.

The acquisition of substantially all assets of the sellers included machinery, accounts, inventory, and IP, as well as the transition of real estate assets to the buyer. Kevin worked closely with the Jones Foster Real Estate practice group to handle the assignment of leases.
